ABOUT GOOD RETURN

Good Return is a social purpose organisation working across the Asia Pacific region. We enable women and their families to access opportunity and build financial security. Our focus is providing responsible finance to local entrepreneurs, as well as education and business training to women and other excluded groups to build confidence and financial capability. The result is a growing generation of empowered entrepreneurs, taking control of their finances, their livelihoods, and their futures.

We are regulated as a public not-for-profit organisation by the Australian Charities and Not-for-Profits Commission (ACNC) and are fully accredited by the Australian Department of Foreign Affairs and Trade.

Job Description

RESPONSIBILITIES

1. Board Governance

  • Attend quarterly Board meetings and Annual General Meetings and prepare draft agendas and minutes
  • Monitor and advise on adherence to Board and Board sub-committee policies and procedures
  • Monitor observance of the Company Constitution, and work with lawyers to ensure it is kept current and in accordance with good practice
  • Coordinate periodic Board evaluations and reviews of committee charters
  • Maintain listing of current directors, details and tenure
  • Maintain director orientation packs and participate in new director orientation as required
  • Respond to Director queries regarding governance processes

2. Regulatory

  • Liaise with ASIC regarding appointment/resignation of directors and other areas as required by law
  • Liaise with Australian Charities and Not-for-profit Commission (ACNC) regarding maintenance of information with the ACNC Register, Annual Information Statements and other areas required by law.
  • Prepare and submit Annual Information Statements to ACNC
  • Any other statutory functions as required by the Corporations Act and ACNC Act
  • Attendance to other company register formalities such as Director nominations at each AGM and ad hoc requirements 

3. Legal and administrative

  • Review legal contracts as requested by management
  • Work with Compliance Advisor to provide advice to staff on a range of legal issues and seek pro bono legal advice where required
  • Work with Compliance Advisor to maintain company policies in accordance with regulatory requirements and operational activities.

4. Other Duties as required

Qualifications

SKILLS & ATTRIBUTES

  • A commitment to Good Return’s vision of a world without poverty where all people have access to resources and opportunities to improve their lives;
  • Attention to detail;
  • Legal / Company Secretarial / Compliance training and experience preferred; 
  • Familiarity with the requirements under the Corporations Act and ACNC Act relating to directors’ duties and charities essential.

Additional Information

Location:  Sydney preferred.

Reports to: Board of Directors

Works closely with: COO, Compliance Adviser & CEO

Level of effort: Approx. 1-2 days per month

Award classification: Volunteer role
